At Cyberonics, we understand that the real value in conducting our business in an honest and ethical manner is the trust it allows us to build with patients, customers and the public. The employees of Cyberonics shall comply with all applicable laws and regulations in the United States, as well as the laws and regulations in any other country in which our Company does business. We shall also adhere to the highest standards of business ethics and comply with the written letter of the law, as well as the spirit of the law.

Many changes in laws and regulations that affect interactions between our industry and health care providers have occurred recently. Cyberonics has adopted and supports the AdvaMed ethical code and remains involved in helping to update and maintain this important industry code. Cyberonics supports transparency and efforts to ensure that health care professionals make independent decisions that are in the best interest of patients and their families. Selection of medical devices should be based solely on their effectiveness, quality and value.

Certain state governments require pharmaceutical, biologic and medical device manufacturers to provide an annual report to a governmental agency regarding a wide variety of financial interactions that pharmaceutical and medical device companies have with certain health care professionals licensed by that government. Cyberonics is required by law to report many types of direct and indirect payments and other transfers of value to health care professionals licensed by that jurisdiction. This generally includes the name of the contracting party, the purpose of the payment, the amount and nature of any payments made and possibly other information about the payment.
